This is an official notification from Companies House, sent to all registered email addresses. The information in this email is relevant to all companies registered in the UK. Companies House is introducing a series of changes under the Economic Crime and Corporate Transparency (ECCT) Act 2023. Here’s a round-up to start the new year to make sure you’re up to date.

Changes to fees from 1 February 2026

From 1 February 2026, some of our fees will be changing. We’ve published a full list of fees that are changing from 1 February 2026.
We use income from our fees to incorporate companies and to publish accessible company information worth billions to the UK economy. Our new and enhanced powers under the ECCT Act also enable us to query and remove false and misleading information from our registers.
We’re building a more trustworthy environment for consumers and legitimate businesses, and reducing the harm they face from those who do not meet their obligations.

Identity verification

UK company law now requires all company directors and people with significant control (PSCs) to verify their identity. Identity verification helps protect honest business owners from being impersonated by criminals and supports a fairer, more transparent business environment. It’s a quick, secure process that most people complete in minutes. If you’ve already verified your identity, you do not need to do it again. However, if you’re both a director and a PSC for one or more companies, you need to link your verified identity to each role you hold.

Registered email address

Since 4 March 2024, every company must give Companies House a registered email address. We’re sending regular emails to registered email addresses to help you comply with your responsibilities. It’s important to make sure you’ve chosen the most appropriate registered email address for your company. As the company director, you must be able to access and read the emails you receive from Companies House. You can update your registered email address online.

How to stay up to date

Read all the latest updates on our Changes to UK company law website, take a look at our guidance on GOV.UK, and sign up for our regular email newsletters. You can also follow us on Facebook, LinkedIn and YouTube for all the latest news.

Identity verification requirements start from 18 November 2025

From 18 November 2025, identity verification becomes a legal requirement. This date is not a deadline, it marks the start of a 12-month transition period, giving your company time to make sure all directors and people with significant control (PSCs) have verified their identity by their due dates.

After 18 November, you’ll be able to check the Companies House register to see the verification due dates for each role you hold.

What you need to do

Identity verification is a 2-step process:

1. Verify your identity and get your Companies House personal code.

2. Provide your personal code for each role you hold to confirm you’re verified.

If you’ve already verified your identity, you do not need to do it again – but you must provide your personal code for each role you hold.

How to verify your identity

There are 2 ways to verify your identity for Companies House:

1. Using the Verify your identity for Companies House service.

This service uses GOV.UK One Login to verify your identity.

GOV.UK One Login will ask you a few simple questions to work out the best way for you to verify your identity online. The options available may depend on your device, whether you have photo ID, and the type of ID you have.

If you have a UK photo card driving licence, UK passport or a non-UK biometric passport and access to a smartphone, you can verify your identity using an app. This is the quickest way to verify your identity.

2. Using an Authorised Corporate Service Provider (ACSP) – Speak to us for more information.

Filing your next confirmation statement

From 18 November, you will not be able to file your company’s next confirmation statement unless all company directors have verified their identity and included their personal code. If someone else files the confirmation statement on your behalf, each director must share their code with them.

Why this matters

Identity verification helps protect honest business owners from being impersonated by criminals and supports a fairer, more transparent business environment. It’s a quick, secure process that most people complete in minutes.

Identity verification requirements for limited partnerships, corporate directors of companies, corporate members of limited liability partnerships (LLPs), and officers of corporate PSCs, will be introduced at a later date.

Changing a company name is a significant decision that can have a profound impact on your business. Whether you are rebranding, merging with another company, or simply outgrowing your current name, the process of changing your company name requires careful planning and execution. In this blog post, we will guide you through the essential steps involved in changing a company name, ensuring a smooth transition and minimising any potential disruptions.

1. Evaluate the Reasons for the Change:

Before embarking on the process of changing your company name, it is crucial to clearly identify and evaluate the reasons behind this decision. Common motivations include repositioning the brand, reflecting a new strategic direction, eliminating a negative association, or overcoming a trademark conflict. Understanding the underlying purpose will help you set clear goals for the renaming process.

2. Develop a New Name and Brand Identity:

Once you have determined the need for a name change, invest time and effort into creating a new name and brand identity that aligns with your business objectives. Brainstorm ideas with your team, engage professional naming consultants, or consider crowdsourcing for creative input. Ensure that the new name resonates with your target audience, is memorable, and reflects your company’s values, vision, and offerings.

3. Research and Secure Intellectual Property Rights:

After finalising a potential new name, conduct comprehensive research to ensure its availability and protect your business from legal issues. Perform trademark searches to check for any existing trademarks that might conflict with your proposed name. Consult a legal professional to help you navigate the complex world of intellectual property rights and to assist with securing any necessary trademarks or copyrights.

4. Update Legal and Regulatory Requirements:

Changing a company name involves several legal and regulatory obligations that must be addressed to maintain compliance. Start by checking the requirements of your jurisdiction, such as filing documents with the appropriate government agencies, updating business licenses, permits, and registrations, and notifying relevant authorities about the name change. Consult legal counsel or engage the services of a professional business consultant to ensure all necessary steps are taken.

5. Notify Stakeholders:

Once the legal aspects are in order, it is crucial to communicate the name change to your stakeholders effectively. Notify your employees, clients, vendors, partners, and other key stakeholders about the upcoming change well in advance. Craft a clear and concise message that explains the reasons behind the name change and emphasizes the continuity of your business operations, services, and values. Leverage various communication channels, such as email, newsletters, social media, and press releases, to reach your audience.

6. Update Branding Materials:

To ensure a seamless transition, update all branding materials to reflect the new company name and visual identity. This includes updating your website, business cards, letterheads, email signatures, marketing collateral, signage, and any other touchpoints where your brand is represented. Consistency is key to maintaining brand recognition and building trust with your audience during this transition period.

7. Implement a Marketing and PR Strategy:

A well-executed marketing and PR strategy can help generate buzz around your company’s name change and reintroduce your brand to the market. Leverage various channels to promote the rebranding, such as social media, press releases, blog posts, and media interviews. Consider partnering with influencers or organizing launch events to amplify your message and engage your target audience.

8. Monitor and Measure the Impact:

After the name change, closely monitor the impact of the rebranding efforts. Track changes in customer perception, website traffic, social media engagement, and other relevant metrics to assess the effectiveness of your rebranding strategy. Analyse feedback from employees, clients, and stakeholders to make any necessary adjustments and ensure that the new name resonates positively with your audience.

Changing a company name can be a complex process, but with careful planning and execution, it can lead to new opportunities and fresh beginnings for your business. By following these step-by-step guidelines, you can navigate the name change process successfully while minimizing disruptions and ensuring a smooth transition. Embrace this opportunity to redefine your brand, engage your audience, and propel your business towards continued growth and success.

When establishing a company, understanding the various addresses associated with your business is crucial. Two important addresses to differentiate are the service address and registered address. While they may sound similar, they serve distinct purposes and have specific requirements. In this blog post, we’ll explore the differences between service address and registered address to help you grasp their roles and importance in your company’s operations.

Registered Address: The Legal Hub

The registered address is the official address of your company. Here’s what you need to know:

1. Legal Requirement:

Every company registered in a specific jurisdiction, such as the United Kingdom, is required to have a registered address. It acts as the central point for official communications, correspondence, and legal documentation.

2. Public Record:

The registered address is publicly available information. It is listed on various official documents, including the Companies House register and your company’s public records. This address allows government bodies, regulatory authorities, and the public to reach your company and send official communications.

3. Statutory Obligations:

As the registered address is where official notices and legal correspondence are sent, it is essential to ensure its accessibility and reliability. Your company must receive and respond to any important communications promptly to comply with legal obligations.

Service Address: Privacy and Communication

The service address serves a different purpose within your company. Consider the following:

1. Personal Privacy:

The service address provides privacy for directors, shareholders, and other officers of the company. It allows individuals to separate their personal and professional lives, keeping their personal residential address confidential.

2. Communication Channel:

The service address is used for receiving official correspondence related to directors, shareholders, and officers. This address is typically where statutory mail, such as Companies House and HM Revenue and Customs (HMRC) communications, is sent.

3. Flexibility and Convenience:

Unlike the registered address, the service address does not need to be a physical location; it can be any valid postal address. This flexibility allows individuals to choose a location that suits their needs, whether it is their residential address, a virtual office, or another business address.

Key Differences Summarised:

To summarise the distinctions between the two addresses:

– Registered Address: The official address of the company, publicly available, and where official communications and legal documents are sent.

– Service Address: A separate address used for privacy and communication purposes, protecting the personal residential addresses of directors, shareholders, and officers.

Understanding the differences between the service address and registered address is vital for maintaining legal compliance, privacy, and effective communication within your company. The registered address serves as the central hub for official communications and legal obligations, while the service address provides privacy and a separate communication channel for directors and officers. By grasping these distinctions, you can ensure that your company operates smoothly, while protecting personal privacy and adhering to legal requirements.

Choosing the perfect name for your new company is a critical decision that can impact its success. A well-chosen company name not only reflects your brand identity but also resonates with your target audience. To help you make an informed choice, we’ve compiled seven essential tips to guide you in selecting a memorable and impactful name for your new venture.

1. Reflect Your Brand Identity:

Your company name should align with your brand identity, core values, and business objectives. Consider the tone, personality, and image you want to convey to your customers. Whether it’s professionalism, innovation, or playfulness, your name should reflect the essence of your brand.

2. Keep it Simple and Easy to Pronounce:

Choose a name that is simple, easy to pronounce, and easy to remember. Avoid complex or lengthy names that may confuse potential customers or be difficult to spell. A concise and straightforward name is more likely to make a lasting impression and be easily recalled.

3. Consider Your Target Audience:

Think about your target audience and the market you’re entering. Research their preferences, interests, and cultural nuances. A name that resonates with your target audience and speaks to their needs and aspirations will help you establish a stronger connection with them.

4. Be Unique and Differentiate:

Stand out from the competition by selecting a name that is unique and sets you apart. Conduct thorough research to ensure that your chosen name is not already in use within your industry or a similar market. Differentiating yourself through a distinctive name will help you build a strong brand presence.

5. Test for Domain and Trademark Availability:

Check the availability of domain names and trademarks related to your chosen company name. A strong online presence is crucial in today’s digital landscape, so securing a domain name that matches your company name is essential. Additionally, ensure that your chosen name is not trademarked by another entity to avoid legal conflicts.

6. Consider Future Expansion and Scalability:

While selecting a name, consider your long-term business plans. Think about the potential for future expansion into different product lines or geographic markets. A name that allows for flexibility and scalability will save you from rebranding efforts down the line.

7. Get Feedback and Brainstorm:

Seek feedback from trusted colleagues, friends, and potential customers during the naming process. Brainstorming sessions can help generate a range of ideas and perspectives. Consider conducting surveys or focus groups to gather insights and preferences, ensuring your name resonates with your target audience.

Choosing a new company name requires careful thought and consideration. By following these essential tips, you can select a memorable and impactful name that aligns with your brand, resonates with your target audience, and sets you apart from the competition. Remember, your company name is an integral part of your brand identity, so take the time to choose wisely and lay a strong foundation for your business’s future success. Contact New Company Group today for further help and advice on choosing the perfect name!

Registering a company is an important milestone for entrepreneurs looking to establish a business presence in the United Kingdom. While the process may seem daunting at first, this step-by-step guide will walk you through the necessary procedures to register your company successfully. Whether you’re a first-time entrepreneur or expanding your operations to the UK, this comprehensive guide will help you navigate the registration process with ease.

Step 1: Choose a Company Name

The first step is to select a unique and suitable name for your company. Ensure that the chosen name complies with the guidelines set by Companies House, the UK’s registrar of companies. The name should not be identical or too similar to existing registered companies, and it must not contain any sensitive or prohibited terms.

Step 2: Determine the Company Structure

Decide on the company structure that best fits your business. The most common structure is a private limited company (Ltd), offering limited liability for its shareholders. Consider the ownership structure, the number of directors, and any specific requirements for your industry or business activities.

Step 3: Prepare the Required Documents

Gather the necessary documents for company registration. This typically includes the memorandum and articles of association, which outline the company’s purpose and internal regulations. You will also need details of the company’s registered office address and the names and addresses of directors and shareholders.

Step 4: Choose a Company Formation Agent

This is where New Company Group can help – the UKs leading company formation agent! A formation agent can guide you through the process, handle paperwork, and provide additional services such as registered office facilities and nominee director services.

Step 5: Complete the Company Registration Form

Whether you choose to register directly or through a formation agent, you will need to complete the necessary registration forms. The most commonly used form is the IN01 form, which requires information about the company, directors, shareholders, and share capital. Double-check all details for accuracy before submission.

Step 6: Pay the Registration Fee

There is a registration fee payable to Companies House upon submission of the registration documents. The fee amount varies depending on the method of registration and the company structure. Ensure you have the necessary funds available to cover the registration fee.

Step 7: Submit the Registration Documents

Submit the completed registration forms and supporting documents to Companies House. If you are using a formation agent, they will handle the submission on your behalf. Companies House will review the documents, and once approved, they will issue a Certificate of Incorporation.

Step 8: Set Up Additional Requirements

After registration, there are a few additional requirements to consider. These include opening a business bank account, registering for taxes, and complying with any industry-specific regulations or licensing requirements.

Registering a company in the UK may involve several steps, but with careful planning and attention to detail, the process can be straightforward. By following this step-by-step guide, you can navigate the registration process with confidence, ensuring that your company is established legally and ready to embark on its business journey. Remember to consult professionals or seek expert advice here if you require further assistance or have specific questions regarding your unique circumstances.

Starting a business is an exciting endeavour, but one crucial decision entrepreneurs face is whether to buy an off-the-shelf company or incorporate a new one. Both options have their merits and considerations. In this blog post, we will explore the pros and cons of each approach to help you make an informed decision that aligns with your specific business goals.

Option 1: Buying an Off-the-Shelf Company

An off-the-shelf company, also known as a ready-made or shelf company, offers the advantage of immediate availability. Here are some factors to consider:

1. Time and Convenience:
One of the primary benefits of buying an off-the-shelf company is the time saved. Instead of going through the process of incorporating a new company, which involves paperwork, legal requirements, and waiting for registration, you can begin operating almost instantly. This can be especially advantageous if you have a time-sensitive business opportunity or want to start generating revenue quickly.

2. Credibility and History:
An off-the-shelf company often comes with a track record, established registration date, and documentation, which can enhance your business’s credibility. It may give potential clients, partners, and financial institutions more confidence in your venture, as you are acquiring an entity with a history.

3. Legal Compliance and Simplicity:
When you buy an off-the-shelf company, the initial legal formalities, such as company registration, are already completed. This can simplify the process, as you receive the necessary documents, including the certificate of incorporation, share certificates, and memorandum and articles of association. However, it’s essential to ensure that the purchased company is compliant with all legal and financial obligations.

Option 2: Incorporating a New Company

Incorporating a new company offers a different set of advantages. Consider the following factors:

1. Tailored Structure and Vision:
Creating a new company from scratch allows you to design its structure, including selecting the company name, defining the shareholding structure, and establishing specific bylaws. This level of customization allows you to align the company with your vision and tailor it to your specific business needs.

2. Clean Slate and Flexibility:
Starting fresh gives you a clean slate, free from any potential liabilities or obligations inherited from an off-the-shelf company. You have the freedom to build a brand-new entity, focusing on your unique business proposition and strategies without any prior history.

3. Personalisation and Brand Identity:
Incorporating a new company provides an opportunity to create a brand identity from the ground up. You can choose a name that resonates with your target market, design a logo, and establish a strong brand presence, helping to differentiate your business in the market.

Conclusion:

The decision of whether to buy an off-the-shelf company or incorporate a new one depends on various factors, including your timeline, business goals, and preferences. If time is of the essence and you value the credibility and history of an existing entity, an off-the-shelf company may be the right choice. On the other hand, if you prioritize customisation, a clean slate, and the ability to shape your company’s structure and brand identity, incorporating a new company may be the better option.

Ultimately, it is crucial to evaluate your specific needs, conduct thorough research, and seek professional advice to make an informed decision. Regardless of the path you choose, with proper planning and execution, your business has the potential to flourish and achieve success.

In the world of business, there are numerous strategies and practices that entrepreneurs employ to gain a competitive edge. One such strategy is the utilisation of shelf companies. Whether you are a seasoned entrepreneur or just starting your business journey, understanding what a shelf company is and how it can benefit your ventures is crucial. In this blog post, we will delve into the concept of shelf companies, exploring their definition, purpose, advantages, and potential considerations.

What is a Shelf Company?

A shelf company, also known as an aged company or ready-made company, is a business entity that has been incorporated but has remained dormant and inactive. These companies are often created by professional service providers or entrepreneurs and are made available for purchase by individuals or organisations seeking an established corporate entity.

The term “shelf” originates from the concept of a company being placed on a metaphorical “shelf” until it is ready for use. Essentially, these entities are pre-registered and ready for immediate deployment, bypassing the traditional process of starting a new company from scratch.

Purpose and Benefits of Shelf Companies

1. Time Efficiency: One of the primary benefits of shelf companies is the time saved in starting a new business. By acquiring a shelf company, entrepreneurs can skip the lengthy and often complex registration process, which typically involves paperwork, government approvals, and legal procedures. This time saved can be redirected towards other critical aspects of launching and growing a business.

2. Enhanced Credibility: A shelf company, particularly one with a well-established history, can lend credibility to a new business venture. Clients, partners, and investors may perceive a shelf company as more trustworthy and stable, as it has already been in existence for a period of time.

3. Access to Contracts and Funding: In certain industries, companies with a longer track record may have an advantage when it comes to securing contracts or obtaining funding. Acquiring a shelf company with an established history can provide opportunities for new businesses to participate in bidding processes, access government contracts, or secure loans and financing more easily.

4. Privacy and Confidentiality: By purchasing a shelf company, entrepreneurs can maintain a certain level of privacy and confidentiality. Since the company has already been registered, the personal information of the new owner can be kept separate from the public records, reducing the risk of identity theft or unwanted attention.

Considerations and Potential Drawbacks of a Shelf Company

While shelf companies offer numerous advantages, it’s important to consider a few potential drawbacks before making a purchase:

1. Cost: Acquiring a shelf company can be more expensive compared to starting a new business from scratch. The price typically includes the company’s age, history, and any additional services provided by the seller.

2. Compatibility: It is crucial to ensure that the shelf company aligns with your business goals, industry, and jurisdiction. Factors such as the company’s name, structure, and registration details must be reviewed to ensure compliance and avoid legal complications.

3. Reputation and Liabilities: When purchasing a shelf company, it’s essential to conduct due diligence on its previous activities and ensure that it has not accumulated any legal or financial liabilities. Otherwise, you may inherit the consequences of past actions.

Shelf companies provide a unique opportunity for entrepreneurs to save time, gain credibility, and access potential business opportunities. By acquiring an established entity, entrepreneurs can expedite the process of launching their businesses and take advantage of the benefits that come with an aged company.

However, it is crucial to carefully consider the compatibility, cost, and potential liabilities associated with a shelf company. Consulting with legal and financial professionals is highly recommended to ensure that the purchase aligns with your specific business objectives and complies with the applicable laws and regulations.

In summary, shelf companies can be valuable tools for entrepreneurs seeking to jumpstart their business journey. By understanding their definition, purpose, advantages, and potential considerations, you can make an informed decision about whether a shelf company is the right choice for your entrepreneurial endeavours.

As a business owner, maximising tax savings is crucial to keep your profits high and your expenses low. One way to achieve this is by incorporating your business. In this blog post, we will discuss how incorporating your business can help maximise tax savings.

Lower Tax Rates: One of the primary benefits of incorporating your business is the lower tax rates that come with it. As a corporation, you will be subject to lower tax rates than if you were a sole proprietor or partnership.

Deductible Expenses: As a corporation, you can deduct many business expenses such as office rent, employee salaries, and marketing expenses. These deductions can significantly reduce your taxable income and help maximise your tax savings.

Tax Credits and Incentives: Corporations are also eligible for various tax credits and incentives, such as research and development tax credits or investment tax credits. These credits and incentives can help lower your tax liability and increase your overall tax savings.

Retirement Plans: Corporations have access to a broader range of retirement plans than sole proprietors or partnerships, such as a SIPP or defined benefit plans. These retirement plans provide additional tax savings by allowing you to defer taxes on contributions and reduce your taxable income.

Income Splitting: As a corporation, you can split your income among yourself and other shareholders, which can help reduce your overall tax liability. This strategy involves paying lower tax rates on the split income, resulting in significant tax savings.

Limited Liability Protection: Incorporating your business also provides limited liability protection, which can help protect your personal assets from any legal or financial liabilities incurred by your business. This protection ensures that your personal assets are not at risk, resulting in potential tax savings by avoiding any costly lawsuits or settlements.

In conclusion, incorporating your business can provide significant tax savings by lowering tax rates, deducting expenses, accessing tax credits and incentives, providing retirement plans, income splitting, and offering limited liability protection. These benefits can help you maximise your tax savings and keep your profits high. Speak with New Company Group today, an experienced company formation agent based in Birmingham UK, for help with forming your new company.
